This course explores the kinds of financial markets, intermediaries and instruments through which cross-border loan and securities transactions are accomplished, with attention to issues of sovereignty, efficiency and ethics raised at the intersection of global and emerging financial markets. It probes the structures and practices associated with recent financial melt-down. Transactionally focused, the course will explore how national and international legal frameworks and institutional structures support cross-border finance and issuance of securities, and restructuring of sovereign and private emerging market debt. The seminar will simulate a series of infrastructure-related financial transactions that will require each participant to define, conduct and present a research topic related to the participant's simulation role, as well as negotiation of transactional documentation provisions. The course will address examples from emerging Latin American markets.
